Governance
Member-Focused, Member-Led
Internet2 is governed by members of the Internet2 community. Individuals helping to provide the strategic direction, leadership and oversight for Internet2 include university presidents, chancellors, CIOs, industry and regional networking representatives, and researchers from the networking and discipline communities.
Board of Trustees
The Board of Trustees provides strategic direction, leadership, and oversight for Internet2. The Board is comprised of 11 elected and three-to-five appointed seats that include University Presidents/Chancellors, Chief Information Officers, and Researchers; as well as Research and Education Network and Industry representatives. The Internet2 Chief Executive Officer serves as an “ex-officio” member of the Board of Trustees. Committees established by the Board may exercise the authority of the Board as necessary and must be comprised of at least three Trustee members.
- Board of Trustees Committees: Committees of the board may have and exercise the authority of the Board of Trustees as necessary for the efficient management of Internet2. Only Trustees of the Board are eligible to serve on committees of the Board of Trustees.
- Audit and Finance Committee: The Audit and Finance Committee assists the Board of Trustees in fulfilling its fiduciary responsibilities relating to Internet2’s accounting and financial reporting practices and also oversees the organization’s risk management activities.
- Executive Committee: The Executive Committee may exercise many of the powers of the Board of Trustees when the Board is not in session and consists of the Chairperson of the Board, the Vice Chairperson of the Board, the Chairperson of the Audit and Finance Committee, Internet2’s President and CEO, and two to four additional Trustees.
- Compensation Committee: The Compensation Committee reviews the compensation of Internet2’s executive leaders and consists of the Chairperson of the Board, the Vice Chairperson of the Board, and the Chairperson of the Audit and Finance Committee.
- Advisory Committees: Advisory Committees, which do not exercise the authority of the Board of Trustees, may include non-Trustee members. These Committees include:
- Nominations Committee: The Nominations Committee advises and assists the Board in developing and overseeing Internet2’s policies and procedures regarding the composition of the Board, as well as recommendations of candidates for nomination to the Board and its committees.
- Programs and Priorities Committee: The Programs and Priorities Committee provides guidance to the Board on programs and priorities presented by Internet2’s executive leadership and serves as the interface between the R&E community.
